Espavel LLC agrees to provide the Client with software development, maintenance, support, and related IT services as outlined in the Statement of Work (SOW). These may include:
Fees will be detailed in the relevant SOW. Unless otherwise agreed, invoices are payable within 30 days. Late payments may be subject to interest charges.
This Agreement remains in effect until terminated by either party with 30 days’ written notice. Immediate termination may occur if a material breach is not resolved within 15 days of notice.
All custom deliverables become the Client's property upon full payment. Espavel LLC retains rights to general knowledge, tools, and frameworks not specific to the Client.
Both parties agree to protect confidential information and not disclose it to third parties. This obligation survives the termination of this Agreement.
Espavel LLC warrants professional-quality services. No other express or implied warranties are made beyond this agreement.
Neither party shall be liable for indirect or consequential damages. Total liability shall not exceed the amount paid in the last 6 months for services rendered.
Neither party is liable for delays caused by events beyond their control such as natural disasters, wars, or regulatory actions.
This Agreement shall be governed by the laws of [Insert Country or State]. Any disputes will be resolved in the courts of [Insert Jurisdiction].
This document, along with any attached SOWs, constitutes the full agreement between the parties and supersedes any prior agreements.
